Welcome to AssurePak Inc. These Terms and Conditions, also referred to as the “Terms of Service” or “Terms,” govern your access to and use of our website, online store, products, services, tools, content, SMS / MMS messaging program, and any other related services we provide.

The terms “AssurePak,” “we,” “us,” and “our” refer to AssurePak Inc. The terms “you,” “your,” and “customer” refer to any visitor, customer, account holder, buyer, or user of our website or services.

AssurePak operates this website and online store to provide customers with access to plastic packaging products, custom packaging, product information, quote requests, customer support, and related business services. Our online store may be powered by Shopify, which enables us to provide certain website, checkout, payment, and e-commerce services.

By visiting, browsing, creating an account, placing an order, requesting a quote, contacting us, opting into SMS / MMS messages, or otherwise using our website or services, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms or our Privacy Policy, you should not access or use our website, store, products, services, or messaging programs.

Section 1 — Access and Account

By using our website or services, you represent that you are at least the age of majority in your state, province, or country of residence. If you allow a minor dependent to use our website or services through a device, account, or payment method you own or manage, you are responsible for that use.

To use certain services, including creating an account, placing an order, requesting a quote, or contacting us, you may be asked to provide information such as your name, business name, email address, phone number, billing address, shipping address, payment information, and account login information.

You agree that all information you provide is accurate, current, complete, and truthful. You are responsible for maintaining the confidentiality of your account login credentials and for all activity that occurs under your account.

You may not transfer, sell, assign, rent, or license your account to any other person or business without our written permission.

Section 2 — Our Products

AssurePak sells plastic packaging products, including but not limited to bags, produce bags, t-shirt bags, poly bags, reusable bags, custom bags, plastic donation bags, twine, straps, and related packaging supplies.

We make reasonable efforts to display and describe our products accurately. However, product colors, sizes, thickness, appearance, and packaging may appear differently depending on your device, screen settings, lighting, product batch, manufacturing variation, or supplier updates.

Product descriptions, specifications, images, quantities, pricing, availability, and packaging details are subject to change at any time without notice.

We do not guarantee that the appearance, color, size, quality, thickness, or performance of any product will exactly match the images, descriptions, or examples shown on our website.

We reserve the right to discontinue any product, limit quantities, reject orders, or restrict sales to any person, business, geographic region, or jurisdiction at our sole discretion.

Section 3 — Custom Orders and Quote Requests

AssurePak may offer custom packaging, custom bags, special orders, bulk orders, and quote-based orders.

When you submit a quote request, custom order request, artwork, logo, design file, product specifications, or other information, you represent that you have the legal right to use and submit that information.

You are responsible for reviewing and approving all custom order details, including artwork, dimensions, colors, materials, quantity, thickness, printing, spelling, layout, and product specifications before production begins.

Custom orders, special orders, printed products, and bulk orders may not be cancelable, refundable, or returnable once approved, processed, ordered, or placed into production, unless required by law or approved by AssurePak in writing.

Production timelines and delivery dates for custom orders are estimates only and are not guaranteed.

Section 4 — Orders

When you place an order, you are making an offer to purchase the products or services listed in your order.

AssurePak reserves the right to accept, decline, cancel, modify, or limit any order for any reason, including but not limited to product availability, pricing errors, suspected fraud, shipping limitations, payment issues, inventory changes, or errors in product information.

Your order is not accepted until we confirm acceptance and process payment. We may attempt to notify you using the email address, billing address, shipping address, or phone number provided at the time of order if an order is changed, declined, or canceled.

Please review your order carefully before submitting it. We may be unable to accommodate cancellation or change requests after an order has been accepted, processed, shipped, or placed into production.

Purchases are subject to our Refund Policy, Return Policy, Shipping Policy, and any product-specific terms posted on our website.

Unless otherwise agreed in writing, products purchased from AssurePak are intended for lawful business or personal use and may not be used for unlawful resale, export, or prohibited purposes.

Section 5 — Prices, Taxes, and Billing

Prices, discounts, promotions, product availability, and shipping charges are subject to change without notice.

The price charged for a product will be the price in effect at the time the order is placed, unless there is an error, promotion issue, or other circumstance requiring correction.

Unless otherwise stated, posted prices do not include taxes, shipping, handling, customs, duties, import charges, or other fees.

We may offer promotions, discounts, or special offers from time to time. Promotional offers may be subject to separate terms, expiration dates, exclusions, minimum order requirements, or quantity limits.

You agree to provide current, complete, and accurate purchase, payment, billing, shipping, and account information for all orders.

You represent and warrant that:

1. The payment information you provide is true, accurate, and complete.

2. You are authorized to use the payment method provided.

3. Charges incurred by you will be honored by your payment provider.

4. You will pay all charges incurred, including product costs, shipping, handling, taxes, and applicable fees.

Section 6 — Shipping and Delivery

Shipping and delivery dates are estimates only and are not guaranteed.

AssurePak is not responsible for shipping or delivery delays caused by carriers, warehouses, suppliers, customs, weather, labor issues, incorrect addresses, unavailable recipients, supply chain disruptions, or events outside our control.

Once products are transferred to a shipping carrier, title and risk of loss may pass to you, unless otherwise required by law or stated in writing.

You are responsible for providing a correct shipping address. Additional fees may apply for address corrections, re-delivery, refused deliveries, returned shipments, or carrier-related charges.

Section 7 — Returns, Refunds, and Exchanges

Returns, refunds, and exchanges are handled according to our posted Refund Policy and Return Policy.

Certain products may be non-returnable, including but not limited to custom products, special orders, opened products, used products, clearance items, products damaged after delivery, or products returned outside the approved return period.

Shipping charges, handling fees, custom production costs, and special order fees may be non-refundable unless otherwise required by law.

Section 8 — Intellectual Property

All content on our website and services, including text, product listings, images, graphics, designs, logos, trademarks, service marks, videos, audio, page layouts, product descriptions, and website features, is owned by AssurePak, its affiliates, suppliers, service providers, licensors, or other rights holders.

You may not reproduce, copy, modify, distribute, display, publish, download, scrape, transmit, sell, resell, or exploit any portion of our website, products, content, or services without our prior written consent.

AssurePak’s names, logos, product names, service names, designs, and slogans are trademarks or business identifiers of AssurePak or its affiliates. You may not use them without our written permission.

Shopify’s names, logos, product names, service names, designs, and slogans are trademarks of Shopify. All other names, logos, trademarks, and service marks belong to their respective owners.

Section 9 — Optional Tools and Third-Party Services

We may provide access to tools, apps, plugins, payment processors, shipping providers, chat tools, marketing platforms, AI tools, analytics tools, or other third-party services.

These tools are provided “as is” and “as available.” We do not control all third-party services and are not responsible for their operation, accuracy, availability, security, content, policies, or practices.

Your use of third-party tools is at your own risk and may be subject to the third party’s own terms and privacy policies.

Section 10 — Third-Party Links

Our website may contain links to third-party websites, tools, apps, embedded content, payment services, shipping services, or external resources.

We are not responsible for reviewing, monitoring, or verifying third-party websites or services. If you access third-party websites, you do so at your own risk.

Any complaints, claims, concerns, or questions about third-party products or services should be directed to the third party.

Section 11 — Relationship With Shopify

AssurePak’s online store may be powered by Shopify. Shopify provides technology that helps us operate our website, checkout, payment, and e-commerce services.

However, any sales or purchases made through our store are made directly between you and AssurePak. Shopify is not responsible for any aspect of sales between you and AssurePak, including products, shipping, refunds, damages, losses, or customer service matters related to your purchase from AssurePak.

By using our services, you release Shopify and its affiliates from claims, damages, or liabilities arising from or related to your purchases and transactions with AssurePak.

Section 12 — Privacy Policy

Your use of our website and services is subject to our Privacy Policy.

Our Privacy Policy explains how we collect, use, store, share, and protect your personal information, including information collected through our website, orders, quote requests, customer support, email communications, SMS / MMS messaging program, and related services.

Because certain services may be hosted or powered by Shopify or other third-party providers, personal information may be transmitted to and processed by Shopify and other service providers in order to operate our website, process transactions, provide customer support, and improve our services.

By using our website or services, you acknowledge that you have read and agree to our Privacy Policy.

Section 13 — Feedback, Reviews, and Submissions

If you submit, upload, email, post, review, or otherwise provide ideas, feedback, reviews, suggestions, photos, videos, artwork, designs, testimonials, proposals, or other content, you grant AssurePak a worldwide, perpetual, sublicensable, royalty-free license to use, reproduce, modify, publish, display, distribute, and promote that content in any medium for any lawful business purpose.

You represent and warrant that you own or have the necessary rights to submit the content and that your submission does not violate any third-party rights, including copyright, trademark, privacy, publicity, or proprietary rights.

We may monitor, edit, refuse, or remove content that we determine is unlawful, offensive, misleading, defamatory, infringing, abusive, obscene, harmful, or otherwise objectionable.

You are solely responsible for the content you submit and its accuracy.

Section 14 — Errors, Inaccuracies, and Omissions

Information on our website may occasionally contain typographical errors, inaccuracies, or omissions related to product descriptions, dimensions, thickness, colors, pricing, promotions, shipping charges, transit times, inventory, or availability.

We reserve the right to correct errors, update information, cancel orders, adjust pricing, or change product details at any time without prior notice, including after an order has been submitted.

Section 15 — Prohibited Uses

You may use our website and services only for lawful purposes.

You may not use our website or services:

1. For any unlawful, fraudulent, abusive, harmful, or malicious purpose.

2. To violate any federal, state, local, international, or industry law, rule, or regulation.

3. To infringe or violate our intellectual property rights or the rights of others.

4. To submit false, misleading, inaccurate, or deceptive information.

5. To harass, abuse, insult, harm, defame, slander, intimidate, or discriminate against any person.

6. To upload or transmit viruses, malware, spyware, malicious code, or harmful technology.

7. To spam, phish, pharm, pretext, scrape, crawl, or collect data without authorization.

8. To send unauthorized advertising, junk mail, chain letters, spam, or similar solicitations.

9. To impersonate another person, business, or entity.

10. To interfere with or bypass website security features, access controls, robot exclusion headers, CAPTCHA tools, or other protective measures.

11. To use bots, scrapers, crawlers, automated tools, AI agents, or similar technologies to access, copy, extract, or exploit our website without written permission.

12. To resell, duplicate, copy, exploit, or commercially misuse any portion of our services without authorization.

We reserve the right to suspend, restrict, disable, or terminate your access to our website, account, or services if we believe you have violated these Terms.

Section 16 — Automated Agents and AI Tools

This section applies if you use, allow, enable, or deploy any automated software, bot, crawler, scraper, AI agent, or similar technology to access or interact with our website or services.

An “Agent” means any software, bot, script, AI tool, automated system, or service that takes autonomous or semi-autonomous action on behalf of a person or entity.

No Agent may access, use, scrape, copy, interact with, or collect data from our website or services unless permitted by us in writing or allowed by applicable law.

Any approved Agent must clearly identify itself in all HTTP / HTTPS requests by including accurate identifying information in the user-agent string and must not conceal, disguise, or misrepresent its automated nature.

Agents may not:

1. Mimic human behavior to avoid detection.

2. Circumvent CAPTCHA, rate limits, security tools, or access controls.

3. Ignore robots.txt or other access instructions.

4. Scrape product listings, pricing, inventory, content, or customer data without permission.

5. Interfere with website functionality, security, or performance.

We may block, restrict, throttle, or deny access to any Agent at any time.

Section 17 — SMS / MMS Mobile Message Marketing Program Terms and Conditions

AssurePak may offer an SMS / MMS mobile messaging program, referred to in this section as the “Program.” By opting into or participating in the Program, you agree to these Mobile Message Marketing Terms and our Privacy Policy.

The Program may include recurring automated marketing messages, customer service messages, product updates, quote follow-ups, order-related messages, promotional offers, personalized product recommendations, back-in-stock alerts, and conversational responses.

By participating in the Program, you agree to receive SMS / MMS messages from AssurePak at the mobile number associated with your opt-in.

Consent to receive marketing SMS / MMS messages is not required as a condition of purchasing any product or service from AssurePak.

Message frequency may vary. Message and data rates may apply. You are responsible for any charges from your wireless carrier.

Section 18 — AI-Powered Messaging

The Program may use artificial intelligence, automation, machine learning, or related technology to generate personalized messages, product recommendations, quote follow-ups, promotional offers, and conversational responses.

Some or all messages you receive through the Program may be composed, generated, or assisted by AI systems rather than human representatives.

By participating in the Program, you acknowledge and agree that:

1. AI-generated messages may contain inaccuracies, including errors related to product details, pricing, availability, promotions, recommendations, or other information.

2. You should independently verify product information, pricing, shipping details, availability, and promotional offers before making a purchase.

3. AI-generated messages do not constitute legal, financial, medical, professional, technical, or expert advice.

4. Your conversations, message replies, purchase history, browsing activity, product interests, and prior interactions may be processed by AI systems to personalize your experience.

5. Third-party AI service providers may assist in generating or managing messages, subject to our Privacy Policy and applicable provider terms.

6. You may request human assistance by contacting us at sales@assurepak.com or calling 1-888-520-2815.

To the maximum extent permitted by law, AssurePak and its service providers are not liable for damages arising from or related to inaccuracies, errors, omissions, product recommendations, or decisions made based on AI-generated messages.

AI-generated content is provided “as is” and “as available” without warranties of any kind.

Section 19 — SMS / MMS Opt-Out Instructions

You may opt out of the SMS / MMS Program at any time by replying STOP to any text message from AssurePak.

After replying STOP, you may receive one final confirmation message confirming your opt-out.

You understand and agree that replying STOP is the primary and reasonable method of opting out of SMS / MMS messages.

Opting out of SMS / MMS marketing messages does not prevent us from sending non-marketing messages where permitted by law, such as order confirmations, shipping updates, customer service replies, or legally required notices.

Section 20 — SMS / MMS Eligibility

To participate in the SMS / MMS Program, you must have a wireless device capable of two-way messaging, use a participating wireless carrier, and be subscribed to a wireless plan that supports text messaging.

Not all wireless carriers support all SMS / MMS services. Delivery of messages is subject to carrier availability and network conditions.

You may not use or engage with the Program if you are under 13 years of age. If you are between 13 and 18 years old, you may only use the Program with permission from a parent or legal guardian.

By using the Program, you represent that you are permitted by applicable law to participate.

Section 21 — Data Use for SMS / MMS and AI Personalization

To provide personalized messages and recommendations through the Program, we may use information such as your phone number, message interactions, purchase history, browsing activity, quote requests, product preferences, and prior communications.

This information may be processed by AI systems and third-party service providers to generate relevant communications.

We do not sell your personal information to third parties.

Our AI service providers are expected to use personal information only to provide services to AssurePak and are not authorized to use your personal information to train their general-purpose AI models, unless otherwise disclosed in our Privacy Policy or required by applicable law.

Section 22 — Termination

We may terminate, suspend, restrict, or disable your account, access to our website, participation in our SMS / MMS Program, or use of our services at any time, with or without notice, if we determine that you violated these Terms or engaged in conduct that may harm AssurePak, our customers, Shopify, service providers, or third parties.

You remain responsible for all amounts due up to and including the date of termination.

Sections related to intellectual property, privacy, feedback, disclaimers, limitation of liability, indemnification, governing law, dispute resolution, and any other provisions that should reasonably survive termination will continue to apply.

Section 23 — Disclaimer of Warranties

Our website, services, products, product information, SMS / MMS Program, AI-generated content, and all related materials are provided “as is” and “as available.”

Except as expressly stated by AssurePak in writing, we make no warranties or representations of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, durability, title, non-infringement, accuracy, availability, or uninterrupted service.

We do not guarantee that:

1. The website or services will be uninterrupted, timely, secure, or error-free.

2. Product information will always be complete, current, or error-free.

3. Product images will exactly match delivered products.

4. AI-generated messages will be accurate or complete.

5. Any defects or errors will be corrected immediately.

Some jurisdictions do not allow certain warranty exclusions, so some limitations may not apply to you.

Section 24 — Limitation of Liability

To the fullest extent permitted by law, AssurePak, Shopify, our affiliates, partners, directors, officers, employees, agents, contractors, service providers, suppliers, and licensors shall not be liable for any direct, indirect, incidental, punitive, special, consequential, exemplary, or similar damages of any kind.

This includes, without limitation, damages for lost profits, lost revenue, lost savings, loss of data, business interruption, replacement costs, shipping delays, product delays, pricing errors, website errors, AI-generated message errors, or any claim related to your use of our website, services, products, or SMS / MMS Program.

This limitation applies whether the claim is based in contract, tort, negligence, strict liability, warranty, statute, or any other legal theory, even if we have been advised of the possibility of such damages.

Section 25 — Indemnification

You agree to indemnify, defend, and hold harmless AssurePak, Shopify, our affiliates, partners, officers, directors, employees, agents, contractors, licensors, suppliers, and service providers from any claims, losses, damages, liabilities, costs, or expenses, including reasonable attorneys’ fees, arising out of or related to:

1. Your breach of these Terms.

2. Your violation of any law or regulation.

3. Your violation of any third-party rights.

4. Your use of our website, products, services, account, or SMS / MMS Program.

5. Your submitted content, artwork, designs, reviews, or feedback.

6. Your misuse of products purchased from AssurePak.

We may control the defense and settlement of any claim subject to indemnification, and you agree to cooperate with us in defending such claims.

Section 26 — Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms, our website, products, services, orders, SMS / MMS Program, AI-generated messages, or your relationship with AssurePak shall first be addressed by contacting us directly.

You agree to contact us at sales@assurepak.com and provide a written description of your issue before pursuing formal legal action.

To the extent permitted by law, any dispute shall be resolved on an individual basis only. You agree not to bring or participate in any class action, class arbitration, collective action, private attorney general action, or representative proceeding against AssurePak.

Where arbitration is enforceable and required by applicable law or posted policy, disputes may be resolved through binding individual arbitration. Nothing in this section prevents either party from seeking relief in small claims court where permitted.

Section 27 — Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be enforced to the fullest extent permitted by law or severed from these Terms.

The remaining provisions will remain valid and enforceable.

Section 28 — Waiver and Entire Agreement

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

These Terms, together with our Privacy Policy, Refund Policy, Shipping Policy, Return Policy, and any other policies posted on our website, constitute the entire agreement between you and AssurePak regarding your use of our website, products, and services.

Any ambiguities in these Terms shall not be construed against the drafting party.

Section 29 — Assignment

You may not assign, transfer, delegate, or sublicense these Terms or any rights or obligations under these Terms without our prior written consent.

We may assign, transfer, or delegate these Terms and our rights and obligations without notice or consent.

Section 30 — Governing Law

These Terms and any separate agreements under which we provide products or services shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to conflict of law principles.

You agree that any applicable court proceedings shall be brought in the state or federal courts located in New Jersey, unless otherwise required by applicable law.

Section 31 — Changes to These Terms

You can review the most current version of these Terms at any time on this page.

We reserve the right to update, change, or replace any part of these Terms by posting updates to our website.

Your continued use of our website, services, products, account, or SMS / MMS Program after changes are posted constitutes acceptance of those changes.
